By accessing the Nexus Technology USA website, or placing an order from the Nexus Technology USA website you are acknowledging that you have read, and that you understand and accept, the terms and conditions set forth in this document entitled, "Nexus Technology USA Terms & Conditions".

Disclaimer

Nexus Technology USA disclaims all representations, including without limitation warranties of merchantability and fitness for a particular purpose. In addition, Nexus Technology USA does not represent or warrant that the information accessible via the Nexus Technology USA website is accurate, complete, or current. This disclaimer by the seller in no way affects the terms of the manufacturer's warranty if any. Title to goods herein being purchased is retained by the seller until goods are paid for by the purchaser and at that time title passes to purchaser. If goods herein being purchased are being purchased for purposes of export, purchaser must obtain from the Federal Government certain export documentation before shipping to a foreign country.

Acceptance of Orders

Nexus Technology USA reserves the right to refuse or cancel an order at any time, for any reason. Also, any automated or electronic order confirmation, by e-mail or otherwise, does not indicate acceptance of an order.

Password

In order to have full access to the Nexus Technology USA website, you must be an approved reseller of Nexus Technology USA and you must present a valid password and user ID. Your password is your sole responsibility, and you must take all necessary actions to safeguard the security of your password and its use in accessing the Nexus Technology USA website and ordering product via Nexus Technology USA. You agree not to challenge the validity or enforceability of any order made via Nexus Technology USA with your password. You must not disclose your password to any person who is not authorized to use the password on your behalf. You will be solely responsible for all unauthorized use of your password by your employees or third parties.

Nexus Technology USA recommends that you change your password periodically, and that you change your password immediately when you have reason to believe that your password security has been compromised. You may change your password at any time by selecting 'Change Password' after logging in to the Nexus Technology USA website. If you need an entirely new username and password you can request one by contacting the Nexus Technology USA sales department at 360-885-1603.

The databases provided to you by Nexus Technology USA are licensed to you by Nexus Technology USA for your use only in the ordinary course of your business for your review, selection, and purchase of products from Nexus Technology USA. This license is non-exclusive, non-transferable, and may be terminated by Nexus Technology USA at any time.

Limitation of Liability

Under no circumstances is Nexus Technology USA liable or responsible for any damages that might occur from the use or misuse of any of our products sold, or supplied, to any reseller or resold to any business or individual under any conditions, including (but not limited to) the following:

1. Any consequential or incidental economic damages (including lost profits or income, lost time or labor, or lost data)
2. Loss of, or damage to any type of hardware/equipment, records, or data
3. Any claims against you for damages from a third party
4. Any type of personal injury

In no event shall Nexus Technology USA be liable for any consequential, incidental, indirect, exemplary, punitive, special, or other damages whatsoever resulting from or related to Nexus Technology USA's performance or failure to perform under this agreement or the furnishing, performance or use of any product(s) sold pursuant hereto, whether due to beach of contract, breach of warranty, strict liability, product liability, personal injury, the negligence of Nexus Technology USA or otherwise. Nexus Technology USA's liability shall be limited solely to the repair, replacement or credit of the product(s) at Nexus Technology USA's option.

Limited Warranty

For a period of two years form the date of original purchase, Nexus Technology USA will replace or repair any hardware product that we've sold to you that has been proven to be defective in workmanship or materials. New or refurbished, repair or replacement parts, will be provided by Nexus Technology USA on an exchange basis only.

The customer is responsible for freight charges to return the defective product to us via an insured and trackable carrier (such as UPS or Fed Ex). This warranty does not cover any damage to products. Damage to product includes, but is not limited to, damage that results from the improper or incorrect installation, misuse, accident, abuse, incompatibility, disaster, or any unauthorized disassembly, repair or modification.

Return Policy

Nexus Technology USA does not allow products to be returned for refund for any reason. Product may be returned for replacement only if proven defective. If an exception is made to accept return of a non-defective product, then that return is subject to a 20% restocking fee and MUST be 100% complete, contain ALL original boxes and packing material, and contain all accessories and documentation provided by the manufacturer.

RMA Process

All returns, whether for replacement, repair, or credit, MUST be preauthorized and be clearly marked with a return number (RMA#) which we will provide. You may contact us using our ORDER RETURNS PAGE to make a warranty repair/replacement request. Returns received without an RMA number on this outside of the package will be returned to sender. Payment, Pricing, and Delivery

Nexus Technology USA accepts Visa, Master Card, and Discover credit cards in U.S. Dollars. We require full payment in advance for all purchases. All prices are set at the time of purchase. Nexus Technology USA does not offer any form of price protection. All prices are in U.S. Dollars (US$). Prices are frequently updated and are subject to change without notice. We are not responsible for typographical errors with regard to price.

Privacy Policy

All information related to the transactions of our customers is considered highly confidential. Transaction information about our customers is not sold or given to any third party in any way. We work to protect the security of your information during transmission by using Secure Sockets Layer (SSL) software, which encrypts information you provide to us for purchasing of our products or services.

Nexus Technology USA does retain our customers billing and shipping addresses and phone numbers as well as their emails for the purpose of contacting them for order fulfillment. Order history is archived for the purpose of resolving potential credit card disputes and for auditing purposes.

We may send e-mail to our customers in order to improve our service and to alert our customers to new product offerings. The customer always has the right to not have us contact them regarding new services and products by choosing the option to not have us e-mail them at checkout.

This Agreement will be governed by the laws of the State of Washington, USA, excluding the application of its conflicts of law rules. If any part of this Agreement is found void or unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable, according to its terms.
